Vijay is a corporate and commercial attorney with a background in litigation, complex transactions, and compliance. He has advised startups and established companies on formation, M&A, capital raises, and regulatory strategy. He brings a practical, business-first mindset to clients navigating growth, risk, and legal complexity across fast-moving industries. 

Legal & Corporate Experience

Vijay is a corporate and commercial attorney who advises founders, investors, and leadership teams on legal strategy. His experience spans capital raises, transactions, compliance, and complex business operations.  

He has served as Senior Compliance Counsel for a multi-state operator, advised companies through regulatory licensing and capital structuring, and supported business-critical transactions across cannabis, tech, SaaS, and real estate. Vijay’s legal work includes structuring private equity funds, negotiating commercial agreements, advising on mergers and acquisitions, and supporting general counsel functions across fast-moving, high-growth companies. 

Before his in-house experience, Vijay practiced law at boutique firms in Chicago, focusing on commercial litigation, bankruptcy, and corporate transactions. This litigation foundation gives him a strong grasp of legal risk and resolution, particularly valuable to emerging and regulated businesses navigating rapid change. 

Vijay earned his J.D. from Indiana University, Bloomington – Maurer School of Law, and his B.A. in Political Science from Southern Illinois University. He is licensed to practice law in California and Illinois. 

Representative Matters

A selection of transactions Vijay has led or supported: 

  • Represented the founder and major shareholder of an investment firm in its $100M+ acquisition by a global bank. 
  • Structured and advised a $20M real estate-focused private equity fund. 
  • Represented serial entrepreneurs in the launch of a $10M cannabis-focused investment fund. 
  • Negotiated the $10M+ acquisition of an Arizona distributor on behalf of a California-based cannabis company. 
  • Served as outside general counsel to early- and mid-stage businesses, advising on governance, fundraising, employment matters, and investor relations. 
  • Advised a SaaS startup on formation, funding strategy, and a master services agreement for enterprise clients. 
  • Counseled the board of a multibillion-dollar insurance fund on litigation risk across a high-volume legal portfolio.
